Terms of Service

1. Agreement to terms

By accessing altius.agency or engaging Altius for services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

Altius is operated from the Greater Toronto Area, Ontario, Canada. These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. You agree that the courts located in Ontario, Canada will have exclusive jurisdiction over any dispute arising from these terms or your use of our website or services.

2. Services

Altius provides AI automation systems and related consulting services for allied health and wellness clinics. Specific service deliverables, timelines, and fees are outlined in individual client agreements signed between Altius and each client.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to affected clients.

3. Use of our website

You may use our website for lawful purposes only. You agree not to:

  • Use the website in any way that violates applicable laws or regulations
  • Attempt to gain unauthorised access to any part of the website or its infrastructure
  • Transmit any harmful, offensive, or disruptive content
  • Scrape, copy, or reproduce our content without written permission

4. Intellectual property

All content on altius.agency — including text, design, graphics, logos, and code — is the property of Altius and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without our express written consent.

Custom automation systems and workflows built for clients remain the property of Altius unless otherwise specified in a written client agreement.

5. Client relationships

Our relationship with clients is governed primarily by individual service agreements. These Terms of Service apply in addition to, and do not replace, any signed client agreement. In the event of conflict, the signed client agreement takes precedence.

6. Client responsibilities and consent

If you engage Altius as a client, you are responsible for:

  • Providing accurate, complete information and maintaining the accuracy of any data you supply to us;
  • Having the authority to grant us access to your third-party accounts (such as your booking software and Google Business Profile);
  • Obtaining and maintaining all necessary consents from your own customers before we contact them on your behalf, including consent to receive SMS and email communications as required by Canada's Anti-Spam Legislation (CASL), the U.S. Telephone Consumer Protection Act (TCPA), and any other applicable law; and
  • Ensuring your own use of the automations we build complies with applicable laws and the terms of the underlying platforms.

You are solely responsible for the lawfulness of the customer data and contact lists you provide to us. Altius relies on your representations that proper consent has been obtained.

7. Disclaimer of warranties

Our website and services are provided “as is” without warranties of any kind, express or implied. We do not warrant that our website will be uninterrupted, error-free, or free of harmful components. We do not guarantee specific results from our automation services, though we work diligently to deliver the outcomes described in client agreements.

8. Limitation of liability

To the fullest extent permitted by law, Altius shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services. Our total liability to any client shall not exceed the fees paid by that client in the three months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Altius, its founders, and its personnel from and against any claims, damages, losses, liabilities, fines, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these terms or any client agreement; (b) the customer data or contact lists you provide to us; (c) your failure to obtain proper consent from your customers before they are contacted on your behalf; or (d) your violation of any applicable law or third-party rights. This obligation survives the termination of these terms and of any client agreement.

10. Third-party links and services

Our website may contain links to third-party websites. We are not responsible for the content, privacy practices, or terms of those sites. Links do not constitute endorsement.

We use third-party platforms including Go High Level, Make.com, Calendly, Google Workspace, Google Business Profile, Vercel, Supabase, and client booking platforms such as Jane App to deliver our services. Use of those platforms is subject to their own terms and conditions. We are not liable for outages, changes, or failures of these third-party platforms that affect the delivery of our services.

11. SMS communications

Where Altius sends SMS messages as part of client automation services, those messages are sent on behalf of our clients to their customers. All SMS campaigns are registered under applicable carrier guidelines including A2P 10DLC requirements. Recipients may reply STOP to unsubscribe from any messaging campaign at any time. As set out in Section 6, our clients are responsible for obtaining the consent required to send these messages.

12. Termination and suspension

Either party may terminate a client engagement in accordance with the terms of the signed client agreement. We may suspend or terminate your access to our services, with or without notice, if you breach these terms, fail to pay fees when due, or use our services in a manner that exposes Altius or any third party to legal risk. Upon termination, the provisions of these terms that by their nature should survive — including Sections 4, 8, 9, and 15 — will continue to apply.

13. Force majeure

Altius is not liable for any failure or delay in performing its obligations where such failure or delay results from causes beyond our reasonable control, including but not limited to outages or changes by third-party platforms, internet or telecommunications failures, acts of government, labour disputes, or natural events.

14. Privacy

Your use of our website and services is also governed by our Privacy Policy, which is incorporated into these Terms of Service by reference.

15. General

Severability. If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Entire agreement. These terms, together with any signed client agreement and our Privacy Policy, constitute the entire agreement between you and Altius regarding your use of our website and services. Where a signed client agreement conflicts with these terms, the client agreement takes precedence.

No waiver. Our failure to enforce any provision of these terms is not a waiver of our right to do so later.

Assignment. You may not assign or transfer these terms without our written consent. We may assign these terms in connection with a merger, acquisition, or sale of assets.

16. Changes to these terms

We may update these Terms of Service from time to time. The date at the top of this page reflects the most recent revision. Continued use of our website or services after changes constitutes acceptance of the updated terms.
